Wema Bank, a leading Nigerian financial institution partly owned by gambling magnate Kessington Adebutu, is set to raise an additional N200 billion ($128.4 million) to strengthen its capital base and enhance its market position. This move is part of the bank’s strategic recapitalization efforts aimed at meeting regulatory requirements and solidifying its standing in the country’s financial sector.

The capital-raising initiative, which will be executed through a combination of a rights issue and a special placement exercise, is scheduled to commence on April 1, 2025. This marks the second and final phase of Wema Bank’s recapitalization drive, following the successful completion of its first tranche in 2024, which raised N40 billion ($25.7 million).

With this additional capital, Wema Bank is poised to surpass the Central Bank of Nigeria’s (CBN) minimum capital requirements for national banking licenses, well ahead of the March 31, 2026 deadline set by the regulator.

Strategic Expansion and Growth

The first phase of the recapitalization, initiated in December 2023, received necessary approvals from the CBN and the Securities and Exchange Commission (SEC) in 2024. Building upon this success, the upcoming N200 billion ($128.4 million) funding round aims to further bolster the bank’s financial strength and facilitate expansion initiatives.

Wema Bank’s Chief Executive Officer, Moruf Oseni, expressed optimism about the bank’s future prospects, stating, “We stand strong as Nigeria’s oldest indigenous bank and a leader in innovation. As Wema Bank turns 80, we are more committed than ever to achieving our strategic aspirations. This recapitalization will not only ensure compliance with regulatory standards but also position us as a formidable force in Africa’s financial services landscape.”

Adebutu’s Influence and Ownership Stake

Kessington Adebutu, founder of Premier Lotto Limited, Nigeria’s oldest gaming company, maintains significant influence over Wema Bank through his ownership of a 28.26 percent stake via Neemtree Limited, a special purpose vehicle (SPV) created for strategic acquisitions. His daughter, Abolanle Matel-Okoh, further strengthens the family’s involvement with her 4.54 percent stake in the bank.

Financial Performance and Market Position

Wema Bank has continued to record impressive financial performance, posting a robust N52.73 billion ($33.86 million) profit in its Q3 2024 results. This represents a staggering 174.1 percent increase from the N19.24 billion ($12.36 million) recorded in the same period in 2023, highlighting the bank’s operational efficiency and market resilience.

As the pioneer of ALAT, Africa’s first fully digital bank, Wema Bank has cemented its reputation as an innovator in Nigeria’s banking industry. With the upcoming capital injection, the bank is well-positioned to expand its digital offerings and extend financial services to a broader customer base across Africa.

With this recapitalization effort, Wema Bank is set to strengthen its position as a cornerstone of Nigeria’s financial ecosystem, driving sustainable growth and delivering value to stakeholders.
