Visafone Communications Limited has successfully completed the acquisition of Bourdex Telecom, a private telecommunications company headquartered in Aba, Abia State, in a strategic move to strengthen its position in the Nigerian telecoms market. This acquisition marks another bold step in Visafone’s aggressive expansion plan as it prepares for a nationwide rollout of telephony services.
Sources close to the deal confirm that Visafone, backed by its promoter, Jim Ovia—Managing Director/CEO of Zenith Bank International Plc—finalized the acquisition in December 2007. The transaction was concluded between Ovia and David Ogba Onuoha, Chairman, President, CEO, and founder of Bourdex Telecom, though financial details remain undisclosed at press time.
A Strategic Expansion
Bourdex Telecom, a dominant player in the southeastern telecoms market, boasts extensive coverage across the Eastern and Niger Delta regions. By acquiring Bourdex, Visafone has gained access to an established infrastructure and subscriber base, positioning itself as a formidable competitor in Nigeria’s evolving telecom landscape.
Industry analysts view this acquisition as a critical move to fast-track Visafone’s entry into Nigeria’s unified telecoms market, which allows operators to offer mobile, fixed, and data services with fewer regulatory restrictions. This follows the expiration of the five-year market exclusivity granted to GSM operators in February 2006.
Visafone, which has been making waves in the industry, recently acquired two Private Telecommunications Operators (PTOs)—Cellcom and Independent Telephone Network (ITN)—shortly after securing three carrier licenses in the 800MHz spectrum band from the Nigerian Communications Commission (NCC) for ₦400 million.
Jim Ovia’s Aggressive Telecom Play
Jim Ovia’s entry into the telecom market has sparked industry-wide interest, with many observing his rapid consolidation strategy. By acquiring Cellcom, ITN, and now Bourdex Telecom, Ovia is assembling a telecommunications powerhouse under the Visafone brand.
Industry experts acknowledge Visafone’s potential but warn that success in Nigeria’s highly competitive telecom market will require more than acquisitions. “Extreme innovation and product segmentation are necessary to gain market share,” one analyst noted. The GSM operators have already captured over 90% of Nigeria’s telecom subscribers, which stood at approximately 46 million at the end of Q3 2007.
Bourdex Telecom had built a strong presence across Eastern Nigeria, extending its dial-tone services to key towns including Aba, Umuahia, Owerri, Enugu-Ukwu, Onitsha, Nnewi, Orlu, Awka, and Calabar. It also serviced smaller towns like Abiriba, Item, Nkporo, Igbere, Arochukwu, Uturu, Okija, Bonny, Eket, and Port Harcourt. This extensive coverage is expected to complement Visafone’s existing plans for a nationwide rollout.
Unified Licensing and Market Consolidation
Bourdex was among the few operators granted a Unified Access Service Licence (UASL) by the NCC, alongside MTN, VGC Communications, Starcomms, Multi-Links, Intercellular, and others. To qualify for the UASL, telecom operators needed a functional network infrastructure, a minimum of 10,000 active subscribers, proof of financial capacity for significant expansion, and compliance with regulatory obligations such as tax payments and equipment type approvals.
Visafone’s acquisition strategy aligns with a broader trend of market consolidation in Nigeria’s telecom sector. With the expiration of the GSM exclusivity period, larger telecom players have been acquiring smaller companies to enhance their service offerings. South African telecom giants have been particularly active in this consolidation, with MTN acquiring VGC Communications in a $65 million deal and Telkom SA taking over Multi-Links for $280 million.
Visafone’s Growing National Footprint
Visafone, having secured its 800MHz spectrum assignments (Rx MHz 881.31, 882.57, 883.83; Tx MHz 836.31, 837.57, 838.83), is now strategically positioned to roll out commercial services in 26 states and the Federal Capital Territory (FCT). The states covered under its license include:
•Southwest & Middle Belt: Ogun, Ondo, Osun, Oyo, Ekiti, Kwara, Edo, Delta, Benue, Kogi, and Niger.
•North-Central & Northeast: Nasarawa, Plateau, Taraba, Bauchi, Gombe, and Adamawa.
•Northwest & Far North: Borno, Yobe, Jigawa, Kano, Kaduna, Katsina, Zamfara, Kebbi, and Sokoto.
•FCT: Abuja.
By integrating the newly acquired Bourdex Telecom with Cellcom’s infrastructure, Visafone is reinforcing its ambition to become a major telecom provider, capable of competing with the dominant GSM players.
Challenges and Industry Outlook
Despite its aggressive expansion, Visafone faces significant challenges. The GSM operators, led by MTN, Globacom, and Celtel (now Zain), have captured a vast majority of Nigeria’s telecom market. These players have leveraged economies of scale, aggressive marketing, and rapid network expansion to dominate the industry.
Industry observers caution that while Visafone has secured critical spectrum and acquired smaller operators, success will depend on strategic pricing, innovative services, and customer acquisition strategies. The new competitive landscape, enabled by the Unified Licensing Regime, has also allowed traditional PTOs to offer mobile roaming on their fixed wireless networks. The widespread adoption of Code Division Multiple Access (CDMA) technology among PTOs further intensifies competition in the telecom sector.
The Future of Visafone
With Jim Ovia at the helm, Visafone is expected to leverage its financial strength and market experience to carve a niche in Nigeria’s telecom industry. The company’s nationwide rollout plans, combined with its acquisitions of Bourdex, Cellcom, and ITN, signal an ambitious drive to challenge the established GSM operators.
As the industry continues to consolidate, Visafone’s ability to provide superior coverage, affordable pricing, and innovative service offerings will determine whether it can compete effectively in Nigeria’s highly competitive telecom market. With its recent acquisitions, Visafone is undoubtedly a player to watch in the unfolding battle for telecom supremacy.
